MISAIC EVENTS, PROGRAMS, PRODUCTS - TERMS AND CONDITIONS
This hereby defines the terms and conditions of this agreement between Misaic Group, LLC (Misaic) and Client (as identified on the front of this agreement) as follows:
Term of Agreement: The Misaic Extreme Marketing Machine System is a comprehensive system combining strategy and software intended to assist with business growth. Due to the value of proprietary courseware, video content and educational courses, and costs incurred to manage Client and software setup, Client will be financially liable for 90 days of the system, including any activation fees and additional services agreed to in conjunction with this agreement, other than the refund policy as stated on the front of this agreement. After 90 days, if Client desires to cancel the System for any reason, then if Client is on a payment plan for strategy elements of the system, Client must notify Misaic at least 7 days in advance of the next billing cycle to cancel such services; no proration for the current period will be provided. Client will be responsible for all charges that have been incurred, including services made accessible, whether used or unused, up to the cancellation date and through the billing period. Lack of access to, or use of, any part of the system, either due to fault of Client, Misaic or any other reason, does not entitle Client to any type of reimbursement, so long as other elements of the system are made accessible. It is Client's responsibility to use the services made available/accessible to him/her. FAILURE TO USE THE SOFTWARE OR ANY PART OF THE SYSTEM DOES NOT ENTITLE CLIENT TO REFUND FOR THE SYSTEM, OR ANY PORTION THEREOF. Client will be liable for any and all costs incurred by Misaic for the collection of payments due including but not limited to: late fees, attorney fees and court costs. Should client default on payments and fail to remedy within 45 days, Client hereby grants Misaic a non-revokable, unlimited license to Client contacts as partial compensation for damages. In order to avoid any disruption in marketing for the Client’s business, the software portion of the system will auto-renew monthly unless otherwise notified in writing by Client at least 7 days prior to the next billing cycle.
Software and Support Specifications: The Extreme Marketing Machine System software specifications include (1) MONTHLY - 10,000 Processing Credits to be used for emails, sms messages, page posts, webcast viewers, and more. (2) IN TOTALITY - Unlimited users; Unlimited contacts; 10 hosted videos; 5 million data points in db. Specifications can be increased with the purchase of additional processing credits and support packages. See processing.misaic.com for details.
SaaS Agreements: This agreement may be complemented by the Misaic Software as a Service (SaaS) agreement applicable to the Misaic software. The latest version of the SaaS agreement can be found at: www.misaic.com/saas
Privacy Policy: This agreement is subject to, and Client is protected by, the Misaic privacy policies found at: www.misaic.com/privacy/
Events: Client understands that due to costs to host public events, Client must notify Misaic in writing if he/she cannot attend their scheduled Event at least 14 days in advance in order to avoid additional fees to attend another event. Event dates and/or locations are not guaranteed as Misaic reserves the right to change event dates or locations based on attendance rates and/or logistical factors. Event pricing is for tuition only. Client is responsible for all food, lodging and transportation for the event unless otherwise stated in this agreement or in writing in a subsequent agreement between Misaic and Client.
Severability: If any provision (or part of a provision) of this agreement is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in force.
Success Disclaimer: The strategies and tools provided by Misaic software, educational programs and consulting services are designed to create sustainable success for Client's business. There are many factors unique to every business that influence success; therefore, Misaic does not, and can not, guarantee success. Client hereby agrees to allow Misaic to utilize any success results in its marketing as Misaic deems appropriate.
Limitation of Liability: Neither Misaic nor its affiliated entities will be liable for any indirect, incidental, special or consequential damages of any nature (including but not limited to losses of revenue, profits, use or data) arising in connection to this Agreement; and further, Misaic's aggregate liability arising with respect to this agreement shall not exceed the total amount paid or payable by Client under this agreement.
Marketing Communications: By submitting this form, Client hereby establishes a client relationship with Misaic and willautomatically be enrolled in Misaic communications. Client will be able to unsubscribe from any marketing lists and opt-out after the first communication.
Testimonials: Client hereby agrees that Misaic shall have the exclusive right to use any success stories or testimonials (written, photo, or video) provided by, or related to, Client in Misaic's print, online or other marketing materials at Misaic's sole discretion.
